Agreement to Terms
By accessing or using the ZABLEY website (zabley.ca), you agree to be bound by these Terms of Service. These terms apply to all visitors, users, and clients of the website.
Services
ZABLEY provides technology services including software development, AI automation, web design and development, hardware deployment and removal, and IT support. Specific services are provided under individual service agreements or statements of work that outline scope, deliverables, timelines, and pricing. These Terms of Service govern your use of our website; individual project terms are governed by separate agreements.
Quotes and Pricing
Quotes provided through our website or via email are estimates and are valid for 30 days unless otherwise stated. Final pricing is confirmed in a signed service agreement or statement of work. All prices are in Canadian dollars (CAD) and are subject to applicable taxes (HST).
Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise agreed upon in writing:
- A deposit is required before work begins
- Payments are subjected on larger projects
- Final payment is due upon completion and delivery of the agreed-upon work
- Invoices are payable within 30 days of the invoice date
Cancellation and Refund Policy
We understand that circumstances change. Our cancellation policy is as follows:
- Before work begins: You may cancel with 48 hours notice before work has started and receive a full refund of any deposit paid.
- After work has begun: If you cancel after work has started, you will be invoiced for the work completed to date at the agreed-upon rate. Any deposit paid will be applied toward this amount.
- Completed work: Work that has been delivered and accepted is not eligible for a refund.
- Recurring services: Monthly or ongoing services may be cancelled with 30 days written notice. No refund is provided for the current billing period.
To cancel a service, contact us at info@zabley.ca. We will confirm cancellation and any applicable charges within two business days.
Intellectual Property
Unless otherwise specified in a service agreement:
- Work product created for you (custom code, designs, content) is assigned to you upon full payment
- ZABLEY retains the right to use general techniques, knowledge, and non-proprietary tools developed during the engagement
- Third-party software, libraries, or tools used in your project remain subject to their respective licenses
- All content on the ZABLEY website (text, design, code, branding) is the property of ZABLEY and may not be reproduced without permission
Limitation of Liability
ZABLEY provides services on an "as agreed" basis as outlined in individual service agreements. To the maximum extent permitted by Ontario law:
- ZABLEY's total liability for any claim arising from services provided shall not exceed the total amount paid by the client for those specific services
- ZABLEY is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
- ZABLEY is not responsible for delays or failures caused by factors beyond our reasonable control
Website Use
You agree to use our website only for lawful purposes. You may not:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the website or its systems
- Submit false or misleading information through our contact form
- Use automated systems (bots, scrapers) to access the website without our written permission
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or your use of our website shall be resolved in the courts of Ontario.
Consumer Protection
Nothing in these terms is intended to limit or exclude any rights you may have under the Ontario Consumer Protection Act, 2002, or any other applicable consumer protection legislation. Where these terms conflict with mandatory consumer protection laws, the consumer protection laws prevail.
Changes to These Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated revision date. Continued use of the website after changes are posted constitutes acceptance of the updated terms.
